Performance Products , All customers (including dealers) and buyers
agree to the following:
WE ARE NOT RESPONSIBLE FOR ANY PRODUCTS NOT PURCHASED FROM TLS PERFORMANCE
PRODUCTS: PRICES SUBJECT TO CHANGE WITHOUT PRIOR NOTICE!
Every effort has been made to avoid typing errors in our application lists
and pricing lists. TLS Performance Products is not responsible for any
pricing or application errors.
Condition of Sale
All sales are final and all products sold by TLS
Performance Products (The Seller) are sold "as is" to the Buyer.

Returns
Authorization to return any and all products must be obtained by
The Buyer from TLS Performance Products in advance and must be made within
(5) Days of receiving the product. All returned products to TLS Performance
Products are subject to 25% restocking fee. Buyer must pay for all Shipping
/ Handling fees on any and all returns to TLS Performance Products. All
Products which are approved for return are for store credit only. All
products returned for credit must be in the original manufacturers carton
in the same condition as it was originally delivered by TLS Performance
Products to the Buyer. Only the original Buyer may request for a return of
products. All warranty cards and other such items must be included with the
product being returned. Defective items may be exchanged for the same item
only, and only after warranty has been cleared from original manufacturer
will the Buyer receive product back. After receipt of goods, TLS
Performance Products shall inspect the goods to determine the exact
quantity and condition of goods received. If TLS Performance Products does
not accept the goods as being defective and/or returnable for any reason,
Buyer must accept incurred costs. Wheels and Tires which have been mounted
or used are not returnable under any condition. Special Orders, Custom Made
Orders, and all Electrical or Mechanical parts are not returnable.

Special Orders
All special orders require a minimum nonrefundable deposit
of 50% of total costs. If there is any cancellation for any reason by the
Buyer, that deposit is forfeited immediately to TLS Performance Products.
TLS Performance Products shall not be responsible for any late shipments.
All shipping dates given are approximate. Buyer shall not be entitled to
charge backs, reductions of price, or other offsets as result of late
shipment or failure to deliver in estimated time of delivery. If special
order item(s) are left over 60 days from time of TLS Performance Products
Receiving parts in stock; and Buyer has not paid the rest of his or her
balance or made any attempt whatsoever to claim their order, then the order
shall be considered canceled and all monies previously deposited shall be
forfeited to TLS Performance Products.

Contingencies
TLS Performance Products shall not be liable for any
failures to produce product to Buyer when the cause of such failure is the
result of the forces of nature, labor disputes, supplies or materials
shortage, acts of local, state, national, civil, or other authorities or
public agencies; utility or communication failures, accidents, strikes,
transportation problems, or any act or cause that does not normally occur
in the ordinary course of TLS Performance Products's business.

Warrant /Liability
TLS Performance Products's sole warranty for any and
all products sold is set forth in the warranty documentation associated
with the product. TLS Performance Products gives no warranties, express or
implied, including, but not limited to , the implied warranties of
merchantability, and fitness for a particular purpose. TLS Performance
Products will not be held liable for any damages which are incurred
directly or indirectly on the vehicles or operators or passengers of the
vehicle.

Performance Products
TLS Performance Products does engage in selling
after-market items and the Buyer does understand the ramifications for
having these performance or after-market parts on a vehicle. TLS
Performance Products is not held responsible for any misconception or
disappointments associated with any of these parts. All engine, exhaust,
performance, body kits, racing hoods, and modification parts are legal in
the state of California for off-highway use only!

Body Kit / Aero-Dynamics
Buyer fully understands that all body kits are
sold "as is" with no warranty expressed or implied; due to the fact that
most body kits are made of 100% fiberglass and most are imported from Asia
(Japan / China / Taiwan / Korea). Buyer also understands that due to strict
U.S. Federal and State Safety crash guidelines, TLS Performance Products is
not responsible or liable for any damages or possible injury incurred upon
possible accidents due to driver error, incorrect installations, bad
judgment (cracking or breaking your aero parts) or act of nature / God,
Allah, Jehovah, Buddah, etc... All body kits (aero components) are only
recommended and legal to be used for off-highway use such as track racing
or for exhibition show only! Buyer understands that all body kits (aero
components) may need modifications for correct fitment such as removal of
safety reinforcements, removal of factory bumper lights/side marker
indicators, shaving, molding, etc. Because several of these kits are
prototyped and used on NON-USA vehicles that have much less safety
standards/requirements in their respected country of origin. Buyer
understands that all body kits (aero components) require some prep work
before paint; we are not responsible for any extra incurred fees, material
fees, storage fees for unexpected labor your body shop/paint shop charges
the Buyer. We strongly RECOMMEND you only have highly skilled body shop/
technician install and paint any body kit (aero components) for factory or
show quality look. Not all body shops charge the same prices, or have the
same quality work performed. We find that you get what you pay for! If
local in So. Calif. or delivering vehicle to So. Calif. we work with
paint/body shops that we can recommend body/paint work to be performed.
Buyer understands TLS Performance Products is not responsible or liable for
any vehicle delivery fees, transportation costs, towing fees, or incurred
damages for bringing vehicle to So. Calif for installation, paint and/or
body modifications.If any aero part(s) arrive damaged or cracked bad enough
it cannot be repaired, you must contact TLS Performance Products
immediately in order for claim to be processed and approved. Please refer
to Shipping / Handling section of this page for further details involving

Aftermarket Lightweight Racing Fiberglass & Carbon Fiber Hoods
Buyer fully understands that all fiberglass & carbon fiber hoods or hoods made of
similar lightweight materials are sold "as is" with no warranty expressed
or implied, due to the fact all hoods are made of 100% fiberglass or a
combination of fiberglass / carbon fiber. Most of these hoods are made in
various local fiberglass factories, and also several are imported from Asia
(Japan / China / Taiwan / Korea) which carry and set forth NO WARRANTIES
whatsoever. TLS Performance Products is not responsible or liable for any
damages or possible injury incurred upon possible accidents due to driver
error, incorrect installations, bad judgment (cracking or breaking your
hood) or act of nature / God, Allah, Jehovah, Buddah, etc.... All
aftermarket lightweight racing hoods are intended and recommended only for
off-highway use such as track racing or exhibition show only! Buyer
understands that all hoods are lightweight aftermarket hoods and that these
hoods are have no OEM specifications whatsoever. Most hoods come with stock
latch and pre-tapped holes for easy installation. We strongly RECOMMEND
that all customers purchase hood pins for safety reasons on ALL aftermarket
lightweight racing hoods. TLS Performance Products supplies Sparco hood
pins, or you may purchase hood pins at your local automotive retailer.We
strongly recommend all customers only have a highly skilled professional
body shop / technician install and paint any hoods (that require paint) for
factory or show quality look. Not all body shops charge the same prices, or
have the same quality work performed. We find that you get what you pay
for! If any hood arrives damaged or cracked bad enough it cannot be
repaired, you must contact TLS Performance Products immeadiately in order
for claim to be processed and approved. Please refer to Shipping / Handling

Installations
All said installations will be done in a timely manner. All
parts which are taken off of the Buyers vehicle will be returned to the
buyer unless otherwise noted. If the Buyer leaves any parts at or with TLS
Performance Products for over (7) days, it will then be considered TLS
Performance Products's property, and TLS Performance Products may do
anything with these parts without consent from the Buyer. Buyer will
indemnify and hold TLS Performance Products harmless from all liabilities
from damages incurred as a result of any work performed by TLS Performance
Products pursuant to Buyer's request. If there are any problems with
Buyer's vehicle which would inhibit TLS Performance Products from doing the
install or said work, it will be TLS Performance Products option to get
needed parts for Buyer at Buyer's expense. It is also understood that Buyer
is to check all lug nuts and bolts for tightness as TLS Performance Products
is not responsible for any damages incurred to vehicle. It is understood
that TLS Performance Products will not be responsible for loss, damage, or
theft of vehicle or articles left in vehicle while TLS Performance Products
has possession of Buyer's vehicle.

Payment information and options
No personal or company checks accepted
under any circumstances! We do accept money orders such as US Postal,
Western Union, Certified bank money orders, and bank wire transfers. There
is a mandatory wait of 2 working weeks for any money orders, or certified
bank checks before order is shipped. Why? Because some bastard people who
decide not to work for a living, want to steal, and like to fabricate
counterfeit checks on their computers and try to use them as real, or get
stolen checks and try to reprint them as real with fraudulent information.
Anyone attempting bank fraud or credit card fraud is committing a federal
felony and will be prosecuted to the full extent of the law. This 2 week
waiting period is the approximate time it will take for the bank to clear
the money order / certified bank check. We accept Master Card, Visa,
Discover, and American Express. . Only Calif residents need apply 8.25% Los
Angeles County sales tax to the grand total. Please feel free to use our
order form or you may call to place orders. IMPORTANT: -All credit card
order shipments will only be sent to the billing address that the credit
card statement is mailed to. Shipments will not be sent to any other
addresses whatsoever! If customers request package to be sent to address
other than billing address, then you MUST send a money order, certified cashier's check, or bank
wire transfer. Only the customer who's name is shown on the credit card may
call to place any order. For all international orders (Exc. USA residents,
Canadian residents, and Puerto Rico residents) we only accept bank wire
transfer direct to TLS Performance Products account OR International money
order in USA funds (bank clearance time is required before parts are
shipped out). There is a mandatory wait of 4 business weeks for
international money orders. We can supply more details upon request. Before
sending any money order or certified bank check; please call, fax, or email
TLS Performance Products for total with shipping and handling to your door.
Upon sending payment through US Postal, UPS, Fed-Ex, etc.. Please include
payment, full name, shipping address, contact phone number, full
description of part(s) being ordered; and full description of vehicle. Ex:
2000 Toyota Celica GTS -manual transmission. Remember, if sending any
monies through any services above mentioned, please send certified. Please
do not send any cash via mail. This protects you, so if your money order or
check gets lost, you have some sort of proof!

Shipping/Handling
Please make sure everything is in satisfactory condition
upon delivery. We are not responsible afterwards. Tracking numbers will not
be given under any circumstances! If you absolutely have to know where your
package is; you can call, fax, email us and we will track your packages for
you. If calling, please have full name, description of parts ordered and
call back number ready. Approximate 1 hour wait before a TLS Performance
Products representative can give you tracking number if calling during
business hours. No changing addresses after package is accepted under any
circumstances! If we find out that you request a address change for your
shipment, we shall issue a call tag and re-route your shipment back to TLS
Performance Products, and cancel your order!!!! This is deemed fraudulent
activity and we must take all necessary precautions to safeguard our
business, and other honest customers. All U.S.A. shipments are sent UPS
ground-trac, insured and with "signature required" on all shipments. All
Canadian shipments are sent Standard (Ground) with "signature required."
All body kits, racing hoods, most racing seats, and parts of similar
excessive dimensions cannot go UPS. They are too big! We use different
freight companies in which service is approx. 3 - 5 working days cross
country. All packages are sent fully insured and you must notify us for all
tracking information.Contact TLS Performance Products immediately if
damage claim is needed to be made! Please save all original packing
materials such as box, box filler, labeling, tape or claim may not get
fulfilled upon request. (This includes body kit, and racing hood claims
too!) After claim is made and the motions are completed entirely, only
exchange of same part that was originally damaged is acceptable. Buyer
shall pay shipping fees if product needs to be sent back to factory for
repairing, and Buyer shall also pay all shipping costs on all products
returned for any reason to TLS Performance Products. Alternative shipping
is available for other US territories and all outside countries in any
continent on the face of this earth. Not all shipping rates are readily
available for boat or air to other countries. We can get freight estimates
only if requested and provided you call, email, or fax us your full name,
address, and appropriate postal code(s). UPS is available worldwide, but is
extremely costly as it goes air only and Body kits, hoods, etc.. and other
large dimensional parts must go by freight. Other alternatives for
customers outside USA are to contract your own shipping company to pick up
the freight or we can deliver to specified freight company if in local area
of Southern California, USA. Nominal fuel sur-charge may be required.

IMPORTANT NOTE FOR ALL BODY KIT (s) AND HOOD SHIPMENTS
When order is shipped by truck, you must inspect the goods at the time of delivery before
signing the bill of lading. If driver does not allow inspection of the
goods, Mark Bill of Lading "Possible Concealed Damage!" - Trucking company
will not accept any claim if bill of lading is signed off without reference
to potential claim.

Final Note
Due to the fact that these are competition parts we all love
and want to use, high stress is put on everyday driven factory vehicles and
race vehicles. We hope you understand that we do not claim any competition
part(s) to be street legal, smog legal, emission free, or worry free as
some manufacturer's claim their product to be. We wish all racer's to
conform to their local, state, and federal laws and all peace officers in
the field. Please do not drink alcohol and drive; but when on a track
please Race Hard!!!!

To set up a TLS Performance Products account with TLS Performance Products you must follow these instructions:
1. Fax 909-595-0213 your business info when you are ready to place order or requesting TLS Performance Products prices. business info = Resale License, (seller's permit) Tax I.D., city permit or city license, and any other pertinent information required such as copy of advertisement, business cards, etc. Only businesses with automotive affiliation shall be considered! * *
All requests submitted without a business license and tax identification are considered incomplete. All information will be kept on file for a minimum of 30 days until order is placed. If no TLS Performance Products order is placed within this time span, we shall disregard your information and you WILL have to re-submit your information. All initial TLS Performance Products accounts are pre-payment status ONLY. All credit card orders must be shipped to BILLING ADDRESS on file! NO EXCEPTIONS! Please make sure your fax documents are very clear and legible before faxing. Make sure your fax machine is working and in proper order. Make sure you have provided your return phone number and fax number and contact name. It is amazing how many shops do not put this very important information. How can we contact you back if you do not have this info? Please make sure you do. Make sure you have enough paper in your fax machine. We have a line card and other pricing we shall fax along with a copy of our purchase order form. It is approx. 10 pages we are faxing so make sure again your fax is fully operational, with enough paper, and if you fax shares a line or you do not have a fax machine yet then tell us immediately when we can fax you the line card and pricing. This is so we don't have someone here babysitting a fax to you that will never go through. We strongly recommend you buy a fax machine and get a separate fax line. This will help in your everyday business greatly and will be easier for you, us, and other companies you deal with to do daily business. It also shows you have some organization and are a legitimate business. We cannot stress this enough! Go to officedepot.com and buy a fax machine. They start at only $79 bucks! One of the greatest sayings is " It takes money to make money" Time also equals money and when you waste our time and yours you are wasting concentration you can have on potential sales and making deals and giving better customer service.
Purchase Orders
All US and Canadian dealers MUST fax a purchase order to us and the person making the order must sign the purchase order at the bottom. If you do not know what a purchase order is then keep reading. A purchase order or P.O. (as you may hear and see) is basically a typed or written request to place an order. It is used so there is no confusion between us and our dealers as to what they want to order. It is by our dealer(s) writing in black in white. This deters any errors from verbal orders such as over the phone, and if error is made on the order you receive we can reference your P.O. to see which party is at fault. You must have this information on all purchase orders faxed to TLS Performance Products: - A full description of what you want to order, part #'s if any (if no part # provide full description), ALL vehicle information for each part (year, make, model, 2WD or AWD, etc.) your company name and contact info (address, phone #'s, fax #'s), the person who is placing the orders full name, email address, and your billing information - credit card, name of credit card bank, customer service phone # from issuing bank (usually on back of c/c card) and your billing address, and signature of cardholder at the bottom of the P.O. If for some reason your billing address does not match with your issuing bank records, we shall not process your order and void your order at the end of the work day if the issue is not resolved by the end of that work day. DO NOT GET UPSET if your credit card does not go through meaning declined, information does not match, or we get a Call Ref: request. We can only go by what our c/c processor says or what your bank(s) says. It is up to you to make sure your records are kept updated and you pay your balances on time! - NOTE* We strongly recommend to get a business credit card with your shop address as billing address if you do not have one yet. If you are on COD status, then of course we do not need any c/c billing information unless you rather pay that way. You can fax purchase orders 24hrs a day, 7 days a week, and 365 days a year. We will notify you to confirm we received your P.O. either by phone, email, or fax.
Drop Shipments for ALL Dealers
We are more than happy to drop ship for you. This helps in not having to paying shipping fees twice and saves you and your customer’s money and time. All Drop Ships must be paid 100% in advance. We can only accept payment by bank wire transfer, money order, or certified cashier's check in advance (NO WESTERN UNION ISSUED M.O.'s PLEASE!) Credit card or debit cards are NOT accepted as payment for any drop ships! NO EXCEPTIONS!
Important Please Read VERY CAREFULLY!!
INTERNATIONAL NEW ACCOUNTS & CANADIAN ACCOUNTS
Please follow same instructions as above. Even if you licenses are in languages other than English or Spanish, you must still fax your documents! We only accept international payments by bank wire transfer for countries outside of USA and Canada. NO EXCEPTIONS! There is $20.00 US bank wire transfer fee you will add to any wires sent to us. Any Canadian checks or money orders issued from Canadian banks in US funds will be processed, but the product will be held for a mandatory 3-4 weeks before it is shipped. This is the actual time it takes for Canadian checks in US funds to clear our bank. We can provide our bank account details when you are ready to wire funds for your order(s). Please read very carefully or terms & conditions for more information.
INTERNATIONAL FREIGHT INFORMATION
It is better to buy in bulk since freight fees are expensive and the more freight you have the cheaper it will be per item you buy. We cannot simply quote you some freight costs. All items are different and different methods of shipping are used depending on size and weight of the part(s) and how fast you want it. Finding freight quotations for big items like exhausts, body kits, hoods, and other items that exceed UPS or US Postal dimensions require us to get a freight quotation which take a great deal of time to get. Please only request rate quotes if you have sold product or have customer willing to buy that product or part at that specific time. When we provide a rate quotation to a specific country destination (including CANADA) for freight, the price we quote you is an estimated quote* for the actual costs it takes to get the part(s) to your destination. From point A to point B. The price we quote DOES NOT INCLUDE any import taxes, custom (duties) fees, broker handling fees, and other misc. government fees that your country may charge you. We have no idea what these fees will add up to since we live here in USA. It is your responsibility as a business to find out this information and contact your local governments and agencies so you have an idea of what you will have to pay extra. Fees vary from country to country. We send all international shipments freight collect, meaning you will pay freight fees when your part (s) arrive. Again, you will have other misc. fees such as taxes, customs, etc. so make sure you get this information so you will not be surprised. Estimated quote* - We say estimated because a typical rate quote is good for 20-30 days only depending on which company. We have found that by the time an international order is placed and the company transfers the money, and everything is set, the 20-30 day window has passed and the quote is expired. We easily get another quote but sometimes it may change due to unstable economies some countries experience where their money to US dollar value has changed. Also it is very important to understand that the quote a freight company gives us is not 100% accurate. Usually it may vary slightly approx. $30-$60 US dollars positive or negative when the freight comes in. Quotes are very accurate; we are just telling you to expect to pay a few dollars more or less for actual freight fees when your freight arrives to your destination.
